Tidli (the "Service") is provided by Alto Palo Software ("Alto Palo", "we", "us", or "our"), the company operating altopalos.com. "You" or "User" means any person or entity that accesses, joins the waiting list for, or uses the Service.
By accessing or using the Service, joining the waiting list, creating an account, or otherwise indicating acceptance, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.
The Service is offered on a pre-release, "coming soon" basis. Joining the waiting list creates no obligation on Alto Palo to provide the Service, grants no right of access, and is not a contract to deliver any product, feature, timeline, or availability. Features, pricing, and availability may change or be discontinued at any time without notice and without liability. Any pre-release or beta functionality is provided for evaluation only and may be unstable, incomplete, or withdrawn.
You must be capable of forming a binding contract to use the Service. You are responsible for the accuracy of information you provide, for all activity under your account and your domain, for maintaining the confidentiality of your credentials, and for the acts and omissions of your users. We may refuse, suspend, or terminate accounts at our sole discretion.
The Service may operate under your own internet domain. You are solely responsible for: (a) your domain, its DNS configuration, and any rights to use it; (b) all content, data, messages, files, and communications that you or your users create, upload, send, or store ("User Content"); and (c) ensuring your use complies with all applicable laws and the rights of third parties. You retain ownership of your User Content. You grant Alto Palo a limited, worldwide licence to host, process, transmit, and display User Content solely to operate and provide the Service.
You agree not to use the Service to violate any law; infringe intellectual property or privacy rights; transmit malware, spam, or unlawful, harmful, or abusive content; attempt to gain unauthorized access to the Service or others' data; interfere with or overload the Service; or resell or provide the Service to third parties except as expressly permitted. We may remove content or suspend access to enforce these Terms, without liability.
The Service may interoperate with third-party networks, domains, mail systems, and services that Alto Palo does not control. We are not responsible or liable for any third-party service, for the delivery, non-delivery, or handling of email or other communications by external systems, or for any loss arising from them.
The Service may include AI-assisted features. AI output may be inaccurate, incomplete, or unsuitable for your purposes and must not be relied upon as professional advice. You are responsible for reviewing and verifying any AI-generated output before relying on it. Alto Palo makes no warranty regarding the accuracy or fitness of AI output and accepts no liability arising from its use.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. ALTO PALO EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR THAT DATA WILL NOT BE LOST. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ALTO PALO SOFTWARE, ITS OWNERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, USE, OR DATA, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALTO PALO'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU ACTUALLY PAID TO ALTO PALO FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED (100) EURO. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. Because the Service is currently offered without charge on a pre-release basis, you acknowledge that Alto Palo's liability may be limited to the minimum permitted by law.
You are solely responsible for maintaining independent backups of your data. Alto Palo does not guarantee the retention, integrity, or recoverability of any data and, to the maximum extent permitted by law, is not liable for any loss, corruption, or unavailability of data however caused.
You will defend, indemnify, and hold harmless Alto Palo Software and its owners, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your domain or its configuration; (d) your violation of these Terms or any law; or (e) your infringement of any third-party right.
We may modify, suspend, or discontinue the Service (in whole or in part), and may terminate or suspend your access, at any time, for any reason, with or without notice, and without liability to you or any third party. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 5–14 and 16) will survive.
These Terms are governed by the laws of the jurisdiction in which Alto Palo Software is established, without regard to conflict-of-law rules, and you submit to the exclusive jurisdiction of the courts located there. To the extent permitted by law, any dispute will be resolved on an individual basis, and you waive any right to participate in a class or representative action.
We may update these Terms from time to time. The updated version will be indicated by the "Last updated" date and takes effect when posted. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary so that the remaining Terms remain in full effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. These Terms, together with the Privacy Policy, are the entire agreement between you and Alto Palo regarding the Service and supersede all prior agreements.
